These Terms of Use govern your access to and use of the website operated by SingleSource Lighting and Cleaning Supply, LLC, including its online product catalog, customer accounts, communications, community features, and related website services.

In these Terms, “SingleSource,” “we,” “us,” and “our” refer to SingleSource Lighting and Cleaning Supply, LLC. “Website” refers to singlesourcelcs.com and the services, content, and features made available through it.

By accessing or using the Website, creating an account, submitting an order or purchase request, or participating in a Website feature, you agree to these Terms. If you do not agree, please do not use the Website.

1. About the Website

SingleSource provides commercial lighting, cleaning, janitorial, chemical, food-service, and facility-supply products, along with related product guidance, delivery support, lighting-upgrade assistance, and information about potential utility incentives.

The Website may allow customers and visitors to:

  • Browse products and product categories;

  • Review product information;

  • Create and manage customer accounts;

  • Prepare or submit order requests;

  • Submit purchase-order information;

  • Contact SingleSource;

  • Subscribe to email communications;

  • Learn about lighting upgrades and available utility programs;

  • Submit reviews, comments, questions, or other content;

  • Participate in message boards, forums, calendars, discussions, or other community features; and

  • Use other services or features that may be added or enabled in the future.

Some products, prices, features, promotions, ordering methods, and services may not be available to every customer or in every service area.

2. Intended Customers and Eligibility

The Website is primarily intended for businesses, schools, municipalities, healthcare organizations, hospitality businesses, property managers, nonprofits, churches, institutions, and other commercial or organizational customers.

Individuals may also use the Website when SingleSource permits individual purchases or inquiries.

You must be legally capable of entering into a binding agreement to create an account, submit an order, or use features that create legal obligations.

If you use the Website on behalf of a business, government body, nonprofit, employer, or other organization, you represent that you have authority to act on behalf of that organization and bind it to these Terms.

The Website is not directed to children under 13. Children under 13 may not create an account or submit personal information through the Website.

3. Customer Accounts

Certain features may require you to create a customer account.

When creating or using an account, you agree to:

  • Keep your account information updated;

  • Protect your password and login credentials;

You are responsible for activity conducted through your account unless the activity was caused by SingleSource’s own failure to use commercially reasonable safeguards.

An organization may authorize more than one person to use or manage its customer account. The organization is responsible for controlling which employees, representatives, and agents have authority to use the account, submit orders, or make purchasing decisions.

SingleSource may suspend, restrict, or terminate an account when reasonably necessary to address:

  • Suspected fraud;

  • Unauthorized access;

  • Security risks;

  • Unpaid balances;

  • False or misleading information;

  • Misuse of the Website;

  • Violations of these Terms;

  • Unlawful conduct; or

  • The end of the applicable customer relationship.

Account termination does not eliminate payment, recordkeeping, warranty, or other obligations arising before termination.

4. Product Information

We make reasonable efforts to provide useful and accurate product descriptions, photographs, specifications, availability information, and pricing.

However:

  • Product images may differ from the actual product;

  • Packaging, labels, ingredients, specifications, colors, measurements, and manufacturer information may change;

  • Product availability may change without notice;

  • Website descriptions may contain typographical or technical errors;

  • Manufacturer-provided information may be incomplete or updated after it appears on the Website; and

  • Website information may not identify every product limitation, compatibility issue, restriction, or safety requirement.

You are responsible for confirming that a product is appropriate for your intended use before purchasing, installing, distributing, or using it.

For lighting, electrical, chemical, cleaning, food-service, safety, or specialty products, always review the current:

  • Manufacturer instructions;

  • Product labels;

  • Safety warnings;

  • Technical specifications;

  • Compatibility information;

  • Installation requirements; and

  • Applicable safety data sheets.

Website content is provided as general product information. It is not a substitute for professional engineering, electrical, environmental, occupational-safety, healthcare, legal, regulatory, or other specialized advice.

5. Product Recommendations

SingleSource may offer practical product guidance based on information supplied by a customer.

Recommendations may depend on factors such as:

  • The type of facility;

  • The intended application;

  • Surface materials;

  • Traffic levels;

  • Existing fixtures or equipment;

  • Applicable codes;

  • Customer budget;

  • Supplier availability; and

  • The accuracy and completeness of the information provided by the customer.

Unless otherwise stated in a separate written agreement, a recommendation does not guarantee that a product will satisfy every requirement or produce a particular result.

Customers remain responsible for reviewing product documentation and obtaining qualified professional advice when appropriate.

6. Orders and Purchase Requests

Products displayed through the Website may be available for purchase through a purchase order, approved account terms, direct communication with SingleSource, or another method accepted by SingleSource.

The Website does not currently process online payments.

Submitting an order, cart, quote request, purchase request, purchase order, or similar communication through the Website is an offer or request to purchase the applicable products. It does not mean that SingleSource has accepted the order.

An automated email, account notification, or Website acknowledgment confirms only that information was received. It does not constitute final acceptance.

An order is accepted only when SingleSource:

  • Expressly confirms acceptance;

  • Begins fulfillment;

  • Arranges shipment or delivery;

  • Issues an accepted order confirmation; or

  • Otherwise communicates that the order has been accepted.

SingleSource may contact you before accepting an order to confirm:

  • Product availability;

  • Pricing;

  • Quantities;

  • Customer-specific terms;

  • Purchase-order information;

  • Credit approval;

  • Tax-exempt status;

  • Delivery or shipping arrangements;

  • Special-order requirements;

  • Substitutions; or

  • Other order details.

SingleSource may decline, modify, or cancel an order, in whole or in part, when reasonably necessary because of:

  • Product availability;

  • Supplier changes;

  • Discontinued products;

  • Pricing or listing errors;

  • Incorrect product information;

  • Delivery limitations;

  • Credit concerns;

  • Unpaid balances;

  • Suspected fraud;

  • Legal restrictions;

  • Safety concerns; or

  • Other legitimate business reasons.

7. Purchase Orders and Customer Authorization

When submitting a purchase order, you represent that:

  • The purchase order is valid;

  • You are authorized to submit it;

  • The applicable organization has approved the purchase;

  • The billing and delivery information is accurate; and

  • The organization agrees to pay for accepted orders according to the applicable terms.

Terms printed on a customer purchase order do not modify these Terms or any existing agreement unless SingleSource expressly agrees to the additional or different terms in writing.

An accepted quote, account agreement, credit application, invoice, or other written agreement may contain additional or different terms for a particular transaction.

8. Pricing, Minimum Orders, and Taxes

Prices displayed on the Website are subject to change without notice until an order is accepted.

Unless otherwise stated:

  • Prices are shown in U.S. dollars;

  • Taxes, shipping, freight, handling, delivery charges, special-order costs, and similar fees may be additional;

  • Promotions may have separate eligibility requirements, expiration dates, or restrictions;

  • Contract, volume, government, nonprofit, project, or customer-specific pricing may differ from publicly displayed pricing; and

  • Supplier price changes may affect a pending quote or unaccepted order.

SingleSource may maintain minimum-order requirements or assess a fee for orders below a stated minimum. Applicable minimums and fees may be disclosed on the Website, in a quote, on an invoice, or in other customer communications.

You are responsible for applicable sales, use, excise, and similar taxes unless SingleSource has accepted valid documentation establishing an exemption.

9. Credit Terms and Credit Reviews

SingleSource may offer credit or invoice terms to approved customers.

Credit terms are not automatic. SingleSource may require a credit application, references, financial or business information, or authorization to review information through third-party credit and business-information services.

SingleSource personnel may use third-party services to evaluate:

  • Business identity;

  • Creditworthiness;

  • Payment history;

  • Public business records;

  • Commercial references;

  • Fraud risk; and

  • Other information reasonably related to a commercial credit decision.

By applying for commercial credit or payment terms, you authorize SingleSource to verify the information provided and conduct credit-related reviews permitted by law.

Credit approval, limits, and terms may be changed, suspended, or withdrawn based on:

  • Payment history;

  • Credit information;

  • Account activity;

  • Past-due balances;

  • Business status;

  • Risk considerations; or

  • Other reasonable commercial factors.

Past-due balances may be subject to lawful collection activity and any charges stated in an invoice, customer agreement, credit application, or other applicable arrangement.

10. Shipping, Delivery, and Drop-Shipping

Orders may be fulfilled through:

  • Delivery by SingleSource personnel;

  • A common carrier;

  • A freight provider;

  • Shipment directly from a manufacturer or supplier;

  • Customer pickup; or

  • A combination of these methods.

Available methods, costs, timing, and restrictions depend on the product, order size, destination, supplier, and customer relationship.

Delivery and shipping dates are estimates unless SingleSource expressly guarantees a date in a separate written agreement.

Delays may occur because of:

  • Supplier delays;

  • Product shortages;

  • Carrier conditions;

  • Weather;

  • Road conditions;

  • Labor disruptions;

  • Emergencies;

  • Customer availability;

  • Incorrect delivery information; or

  • Events outside SingleSource’s reasonable control.

Customers are responsible for providing:

  • A complete and accurate delivery address;

  • Safe and reasonable access to the delivery location;

  • Any necessary dock, gate, receiving, or access instructions;

  • Notice of special delivery conditions; and

  • An authorized recipient when one is required.

Unless otherwise agreed in writing, title and risk of loss transfer as provided by applicable law and the applicable delivery or shipping arrangement.

You should inspect products promptly after receipt and report visible damage, shortages, incorrect products, or other apparent problems as soon as reasonably possible.

11. Returns, Exchanges, and Cancellations

SingleSource handles return, exchange, replacement, and cancellation requests based on the circumstances of the order.

Eligibility may depend on:

  • The type of product;

  • The condition of the product;

  • Whether packaging has been opened;

  • The time since purchase or delivery;

  • Manufacturer or supplier restrictions;

  • Health and safety requirements;

  • Whether the product was specially ordered;

  • Whether the product was custom-made or configured;

  • Whether the product can be resold;

  • Shipping or freight costs; and

  • Other relevant circumstances.

Certain products may be nonreturnable or subject to restocking, handling, freight, or return-shipping charges. These may include:

  • Special-order products;

  • Custom or configured products;

  • Clearance or final-sale products;

  • Opened chemical or consumable products;

  • Products with damaged or missing packaging;

  • Products subject to health, safety, or regulatory restrictions;

  • Installed products;

  • Used products; and

  • Products outside an applicable return period.

Contact SingleSource before returning, exchanging, or discarding a product.

Do not return a product without instructions or authorization from SingleSource. Unauthorized returns may be refused.

SingleSource will make reasonable efforts to work with customers when a return, exchange, replacement, or cancellation is appropriate, but approval is not guaranteed.

Nothing in this section limits rights or remedies that cannot lawfully be waived.

12. Manufacturer Warranties

Products may be covered by warranties provided by their manufacturers.

Warranty terms, durations, claim procedures, exclusions, and remedies vary by product and manufacturer.

SingleSource may assist a customer with a manufacturer warranty claim as a customer service. Unless SingleSource expressly provides a separate written warranty, the manufacturer remains responsible for the manufacturer’s warranty.

Warranty coverage may be affected by:

  • Improper installation;

  • Misuse;

  • Modification;

  • Accident;

  • Improper storage;

  • Failure to follow instructions;

  • Incompatible equipment;

  • Unsuitable environmental or operating conditions;

  • Normal wear;

  • Failure to maintain the product; or

  • Other exclusions stated by the manufacturer.

13. Lighting Recommendations and Utility Incentives

SingleSource may provide product recommendations or assistance related to:

  • Lighting upgrades;

  • LED products;

  • Lighting controls;

  • Energy efficiency;

  • Project planning; and

  • Potential utility incentives or rebates.

Utility incentive and rebate programs are controlled by the applicable utility, government body, manufacturer, or program administrator.

Eligibility, funding, calculations, deadlines, inspections, product qualifications, documentation requirements, and payment decisions may change and are not controlled by SingleSource.

Unless expressly stated in a separate written agreement, SingleSource does not guarantee:

  • Eligibility for an incentive;

  • Approval of an application;

  • The amount of an incentive;

  • Continued program funding;

  • The availability of a program;

  • Energy savings;

  • Utility-cost savings;

  • Tax treatment;

  • Project payback periods; or

  • Approval by a utility or program administrator.

Customers remain responsible for reviewing program requirements and obtaining any necessary professional, regulatory, electrical, construction, engineering, accounting, or tax advice.

14. Chemical Products and Safety Information

Chemical and cleaning products must be selected, transported, stored, used, and disposed of according to:

  • Product labels;

  • Manufacturer instructions;

  • Safety data sheets;

  • Workplace policies;

  • Applicable laws and regulations; and

  • Appropriate safety practices.

You are responsible for ensuring that a product is appropriate for the intended:

  • Surface;

  • Environment;

  • Equipment;

  • Facility;

  • Occupancy;

  • Application; and

  • Storage conditions.

Do not mix chemicals unless the manufacturer expressly authorizes the combination.

Use required personal protective equipment and ventilation. Keep products away from children, animals, food, incompatible substances, ignition sources, and unauthorized individuals as directed by the manufacturer.

Emergency or exposure-related questions should be directed to emergency services, poison control, a qualified medical professional, the manufacturer, or the appropriate safety authority.

The Website is not an emergency-response resource.

15. Community and Social Features

The Website may provide areas where users can submit, publish, transmit, or share information or content. These areas may include:

  • Product reviews;

  • Comments;

  • Message boards;

  • Forums;

  • Discussion areas;

  • Questions and answers;

  • Testimonials;

Views expressed by Website users are their own and do not necessarily represent the views of SingleSource.

16. Rules for User-Submitted Content

When submitting content through the Website, you agree that you will not submit or publish content that:

  • Is false, fraudulent, deceptive, or misleading;

  • Is defamatory, threatening, harassing, abusive, hateful, or discriminatory;

  • Promotes violence or unlawful conduct;

  • Is obscene, sexually explicit, or otherwise inappropriate for a commercial website;

  • Infringes a copyright, trademark, trade secret, privacy right, publicity right, or other legal right;

  • Contains another person’s confidential or personal information without authorization;

  • Contains malware, malicious code, or harmful files;

  • Constitutes unauthorized advertising, spam, solicitation, or promotion;

  • Impersonates another person or organization;

  • Misrepresents your relationship with SingleSource or another party;

  • Is unrelated to the applicable discussion or feature;

  • Violates a contractual or legal obligation; or

  • Otherwise violates these Terms or applicable law.

You represent that you own or control the rights necessary to submit your content.

17. License for User-Submitted Content

You retain ownership of content you submit.

By submitting content to a public or community feature, you grant SingleSource a nonexclusive, worldwide, royalty-free license to host, store, reproduce, display, format, adapt, distribute, and use the content as reasonably necessary to:

  • Operate the Website;

  • Display the applicable feature;

  • Moderate content;

  • Promote the applicable discussion, product, event, or Website feature;

  • Maintain backups;

  • Enforce these Terms; and

  • Protect the Website and its users.

This license continues for as long as the content remains on the Website or in reasonable backups.

SingleSource will obtain additional permission before using a customer’s name, logo, photograph, testimonial, or story in a materially separate advertising campaign when such permission is legally required.

18. Moderation and Removal of Content

SingleSource may, but is not obligated to, review or monitor user-submitted content.

SingleSource may remove, restrict, edit, refuse, or disable access to content when it reasonably believes the content:

  • Violates these Terms;

  • Violates applicable law;

  • Infringes another person’s rights;

  • Creates a security or safety risk;

  • Is fraudulent or misleading;

  • Is irrelevant, duplicative, or spam;

  • Disrupts the Website or a community feature; or

  • Is otherwise inappropriate for the Website.

SingleSource may also suspend or terminate access to community features for repeated or serious violations.

The availability of moderation does not make SingleSource responsible for all user-submitted content or require SingleSource to identify every violation.

19. Copyright Complaints

SingleSource respects intellectual-property rights.

A person who believes content on the Website infringes their copyright may contact SingleSource at:

SingleSource may request additional information before taking action.

20. General Acceptable Use

You may use the Website only for lawful purposes.

You may not:

  • Violate any applicable law or regulation;

  • Attempt to gain unauthorized access to the Website, an account, a server, or connected systems;

  • Interfere with the Website’s operation, security, or availability;

  • Introduce malicious code, automated attacks, or harmful technology;

  • Use another person’s account without authorization;

  • Submit false, fraudulent, or misleading information;

  • Scrape, harvest, copy, or extract Website data through unauthorized automated means;

  • Collect information about other users without authorization;

  • Impersonate another person or organization;

You may not reproduce, republish, sell, license, modify, distribute, publicly display, or create derivative works from Website content without prior written permission, except as permitted by law.

Product names, logos, specifications, photographs, trademarks, and other content belonging to manufacturers, suppliers, or other third parties remain the property of their respective owners.

When you submit a question, suggestion, review, photograph, testimonial, idea, or other content to SingleSource, you represent that you have the right to provide it.

Unless otherwise agreed, SingleSource may use ordinary business communications and nonconfidential feedback to:

  • Respond to you;

  • Provide customer service;

  • Evaluate products and services;

  • Improve the Website;

  • Improve business operations; and

  • Maintain appropriate records.

Do not submit confidential business information through a public community feature.

  • Every feature will remain available; or

  • The Website will be compatible with every device, browser, or system.

SingleSource may perform maintenance or take action to protect the Website, its users, and connected systems.

25. Disclaimer of Warranties

To the fullest extent permitted by law, the Website, community features, user-submitted content, and general Website content are provided on an “as is” and “as available” basis.

Except for warranties expressly provided in writing or rights that cannot lawfully be excluded, SingleSource disclaims implied warranties concerning the Website, including implied warranties of:

  • Noninfringement;

SingleSource does not warrant that user-submitted content is accurate, reliable, or suitable for any purpose.

This disclaimer applies to the Website and general Website content. Product warranties, if any, are governed by the applicable manufacturer warranty, written warranty, invoice, purchase agreement, or law.

26. Limitation of Liability

To the fullest extent permitted by law, SingleSource will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to:

  • Use of the Website;

  • Inability to use the Website;

  • Website interruptions;

  • User-submitted content;

  • Unauthorized account activity;

  • Third-party services;

  • Reliance on general Website content; or

  • Loss or corruption of submitted content.

This limitation may include loss of profits, revenue, business opportunities, goodwill, data, or business interruption.

To the fullest extent permitted by law, SingleSource’s total liability for a claim arising solely from use of the Website will not exceed the greater of:

  1. The amount paid to SingleSource for the transaction directly giving rise to the claim; or

  2. One hundred U.S. dollars.

These limitations do not apply where liability cannot lawfully be limited or excluded.

They also do not replace any different remedies or limitations contained in a separately signed agreement between you and SingleSource.

27. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless SingleSource and its owners, officers, employees, representatives, and agents from third-party claims, liabilities, damages, losses, and reasonable costs resulting from:

  • Your unlawful use of the Website;

  • Your violation of these Terms;

  • Your user-submitted content;

  • Your infringement of another person’s rights;

  • Your misuse of a product contrary to its labeling or instructions;

  • Your unauthorized use of an account; or

  • Information you submit through the Website.

This obligation does not apply to the extent a claim was caused by SingleSource’s own negligence, willful misconduct, or violation of law.

28. Privacy

SingleSource’s collection, use, and disclosure of personal information through the Website are described in the Privacy Statement.

29. Governing Law and Venue

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.

To the extent permitted by law, a court proceeding arising from these Terms or the Website must be brought in a state court located in Isabella County, Michigan, or in the applicable federal court having jurisdiction over Isabella County, Michigan.

This provision does not prevent either party from:

  • Bringing an eligible claim in small-claims court;

  • Seeking emergency injunctive relief;

  • Exercising a lawful collection remedy; or

  • Using another forum when applicable law requires it.

30. Changes to These Terms

SingleSource may update these Terms as the Website, its features, business operations, or legal requirements change.

The revised Terms will be posted on this page with a new “Last Updated” date.

Changes apply prospectively from the effective date stated in the revised Terms.

Your continued use of the Website after revised Terms become effective constitutes acceptance of those revised Terms.

31. Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be interpreted, limited, or removed to the minimum extent necessary.

The remaining provisions will continue in effect.

32. No Waiver

A failure by SingleSource to enforce a provision of these Terms does not waive the right to enforce it later.

33. Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of SingleSource.

SingleSource may assign these Terms as part of a merger, acquisition, reorganization, financing, sale of assets, or similar business transaction.

34. Entire Agreement

These Terms and the Privacy Statement constitute the agreement between you and SingleSource regarding use of the Website.

A separate quote, invoice, purchase order accepted by SingleSource, credit application, customer agreement, service agreement, or other written agreement may contain additional or different terms governing a particular transaction.

If there is a conflict, the more specific written agreement accepted by SingleSource will control for that transaction.
